Non-Exclusive Music License Agreement (Instrumentals / Beats)

(Recording, Distribution, Synchronization, and Monetization License)

This Non-Exclusive Music License Agreement (“Agreement”) is entered into between The V4LT, Erick Kinsey, and Kinsey Nexus Group, LLC (collectively, the “Licensor”) and the individual or entity purchasing or using the licensed music (“Licensee”).

This Agreement becomes effective upon full payment.

 

 

1. Ownership

Licensor is the sole creator and/or authorized rights holder of the musical composition and sound recording (“Instrumental”).

All copyrights, master rights, publishing rights, trademarks, and ownership rights remain exclusively with Licensor.

This Agreement grants usage rights only and does not constitute a transfer of ownership.

 

 

2. Grant of License

Upon full payment, Licensor grants Licensee a non-exclusive, non-transferable, non-sublicensable, perpetual license to use the Instrumental in accordance with this Agreement.

Licensee is granted the right to use the Instrumental in music recordings, audiovisual content, commercial releases, and monetized projects.

Licensor retains full ownership and may license the Instrumental to other parties.

 

 

3. Permitted Uses

Licensee may:

• Record vocals or other sounds over the Instrumental to create one or more new songs (“New Song”)
 • Commercially release, distribute, and monetize the New Song on streaming platforms including Spotify, Apple Music, YouTube Music, Amazon Music, and similar services
 • Distribute the New Song through digital distributors such as DistroKid, TuneCore, UnitedMasters, and similar platforms
 • Upload and monetize the Instrumental or New Song on YouTube, TikTok, Instagram, Facebook, Twitch, and similar platforms
 • Use the Instrumental or New Song as background music in videos, films, advertisements, podcasts, games, apps, and other audiovisual productions
 • Monetize audiovisual content incorporating the Instrumental or New Song
 • Perform the New Song publicly
 • Use the Instrumental or New Song in commercial, promotional, personal, and branded content
 • Edit, trim, mix, and synchronize the Instrumental within audiovisual or musical works

Licensee may use the Instrumental with or without vocals.

 

 

4. Prohibited Uses

Licensee may NOT:

• Resell, sublicense, share, or redistribute the Instrumental as a standalone audio file
 • Claim ownership of the Instrumental
 • Register the Instrumental alone for copyright
 • Create or sell competing instrumentals, sample packs, or beat products using the Instrumental
 • Transfer this license to another party

This license applies only to the Licensee who purchased it.

 

 

5. Content ID and Rights Management

Licensor retains the exclusive right to register, administer, monetize, and manage the Instrumental in YouTube Content ID, Meta Rights Manager, TikTok fingerprinting, SoundCloud fingerprinting, and similar systems.

Licensee may monetize their New Song and audiovisual content incorporating the Instrumental.

Licensee may NOT register the Instrumental, in whole or in part, in any Content ID, fingerprinting, or rights management system.

Unauthorized registration constitutes a material breach of this Agreement.

If a claim occurs due to Licensor’s ownership, Licensee may provide proof of purchase and Licensor will make reasonable efforts to resolve valid claims.

 

 

6. Ownership of New Song

Licensee owns the copyright to their original vocal recording and other original elements added by Licensee.

Licensor retains ownership of the Instrumental.

The New Song is a derivative work incorporating the Instrumental.

 

 

7. Credit Requirement

Licensee agrees to provide credit where reasonably possible as:

“Produced by The V4LT”

Failure to credit does not void the license but is contractually required where feasible.

 

 

8. Non-Exclusive Rights

Licensor may continue to sell, license, distribute, and use the Instrumental.

Multiple parties may license the same Instrumental.

Licensee does not receive exclusive rights.

 

 

9. Term

This license is granted in perpetuity unless terminated due to breach.

Licensee may continue to use and distribute authorized works indefinitely.

 

 

10. Termination

Violation of this Agreement results in automatic termination.

Upon termination, Licensee must cease use and distribution of the Instrumental and derivative works.

Licensor reserves the right to pursue enforcement.

 

 

11. Limitation of Liability

Licensor is not liable for indirect, incidental, or consequential damages arising from use of the Instrumental.

Licensor does not guarantee revenue, monetization eligibility, or platform approval.

 

 

12. Governing Law

This Agreement shall be governed by the laws of the United States.

 

 

13. Acceptance

By purchasing, downloading, or using the Instrumental, Licensee acknowledges that they have read, understood, and agreed to this Agreement.

This license is granted only to the original purchaser and is non-transferable.

Non-Exclusive Social Media Music License Agreement (Finished Songs)

(UGC, Platform Upload, Content ID Safe, Monetization License)

This Non-Exclusive Social Media Music License Agreement (“Agreement”) is entered into between The V4LT, Erick Kinsey, and Kinsey Nexus Group, LLC (collectively, the “Licensor”) and the individual or entity purchasing, downloading, or using the licensed music (“Licensee”) upon purchase, download, or use.

 

 

1. Licensor

Licensor is the creator and/or authorized commercial rights holder of the musical composition(s) and sound recordings made available for licensing through The V4LT and its affiliated entities.

The licensed music may include AI-assisted or AI-generated elements created under valid commercial-use licenses.

 

 

2. Grant of License

Upon full payment, Licensor grants Licensee a non-exclusive, non-transferable, non-sublicensable license to use the licensed music solely as synchronized background music in audiovisual content, subject to the terms of this Agreement.

This Agreement grants usage rights only and does not constitute a sale, assignment, or transfer of copyright or ownership.

 

 

3. Permitted Uses

Licensee may:

• Upload videos containing the licensed music to any social media, digital, or content-sharing platform, including but not limited to TikTok, Instagram, Facebook, YouTube, X (Twitter), Snapchat, Twitch, websites, and mobile applications
 • Monetize videos, advertisements, livestreams, and content containing the licensed music
 • Use the music in user-generated content (UGC), influencer content, branded content, promotional videos, and paid advertisements
 • Edit, trim, loop, or synchronize the music with visual content
 • Upload content on behalf of or in promotion of The V4LT, Erick Kinsey, and/or Kinsey Nexus Group, LLC, including brand accounts, artist pages, campaigns, and creator partnerships
 • Permit platforms to host, process, distribute, publicly perform, and display the content as required by their standard terms of service

 

 

4. Prohibited Uses

Licensee may not:

• Resell, redistribute, sublicense, or share the music as a standalone audio file
 • Claim ownership, authorship, or exclusive rights to the music
 • Register the music or attempt to copyright, fingerprint, or monetize it through automated rights systems
 • Upload the music to music streaming platforms (Spotify, Apple Music, Amazon Music, etc.) as a standalone release
 • Use the music in defamatory, illegal, hateful, or unlawful content

 

 

5. Ownership

All rights not expressly granted remain the exclusive property of the Licensor.

Nothing in this Agreement shall be interpreted as a transfer of copyright or ownership.

 

 

6. AI Disclosure

Licensee acknowledges that the licensed music may be created using artificial intelligence tools and understands that copyright protections for AI-generated works may be limited or unavailable under current law.

 

 

7. No Exclusivity

This license is non-exclusive. Licensor may license the same music to other parties at any time.

 

 

8. Term

This license is granted in perpetuity, unless terminated due to a material breach of this Agreement.

 

 

9. Termination

Failure to comply with the terms of this Agreement results in automatic termination, requiring immediate cessation of all use of the licensed music.

 

 

10. Content ID & Copyright Claims

Licensor reserves the exclusive right to register, administer, monetize, or manage the licensed music in YouTube Content ID, Meta Rights Manager, TikTok fingerprinting systems, SoundCloud fingerprinting, or any other digital content identification, rights management, or copyright protection system, unless expressly waived in a separate written Exclusive License Agreement.

This Agreement does not grant Licensee any ownership interest, copyright control, or rights to register, claim, fingerprint, distribute, or monetize the licensed music in any content identification system.

Licensee may not register the licensed music, in whole or in part, including any derivative works incorporating the licensed music, in YouTube Content ID, Meta Rights Manager, TikTok fingerprinting, SoundCloud fingerprinting, or any similar system.

If Licensee receives an automated copyright claim, monetization notice, or content identification match as a result of Licensor’s registration or administration of the licensed music, such claim does not invalidate this license. Licensee may submit reasonable proof of purchase, and Licensor will make commercially reasonable efforts to review and resolve valid claims in accordance with the rights granted under this Agreement.

Unauthorized registration, ownership claims, or attempts to control the licensed music in any content identification system by Licensee constitute a material breach of this Agreement and may result in immediate termination of the license, revocation of rights, and enforcement actions.

Licensor retains full and exclusive ownership and administration rights over the licensed music at all times.

 

 

11. No Platform Affiliation

This license does not imply endorsement, partnership, or affiliation between Licensor and any social media platform unless explicitly stated in writing.

 

 

12. Limitation of Liability

Licensor shall not be liable for indirect, incidental, or consequential damages arising from the use of the licensed music, including but not limited to lost revenue due to platform policy changes or third-party actions.

 

 

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United States.

 

 

14. Acceptance

By purchasing, downloading, uploading, or using the licensed music, Licensee acknowledges that they have read, understood, and agreed to be bound by this Agreement.


MUSIC LICENSING & LEGAL NOTICE

This Music Licensing & Legal Notice (“Notice”) is provided by Kinsey Nexus Group, LLC, including its brands and affiliates The V4LT and Erick Kinsey (collectively, the “Company”).

This Notice is for informational purposes only and governs access to, browsing of, and interaction with this website and its content prior to purchase.

This Notice does not grant any license or usage rights. All rights are granted only through a separate written license agreement issued upon completed purchase.

 

 

1. Ownership & Intellectual Property

All music, sound recordings, compositions, previews, artwork, metadata, text, branding, trademarks, logos, website content, and digital assets displayed on this website are owned or controlled by the Company unless otherwise stated.

All rights not expressly granted in writing are strictly reserved.

 

 

2. No Rights Granted Before Purchase

Viewing, previewing, streaming, downloading previews, or accessing content on this website does not grant any rights to use, reproduce, distribute, monetize, or modify any music or materials.

No license exists unless:

  • Payment is successfully completed, and

  • The applicable license agreement is accepted at checkout

 

 

3. License Terms Govern

Licenses offered by the Company may vary by product, pricing tier, or use case.

The specific license agreement issued upon purchase governs and supersedes any:

  • Marketing descriptions

  • FAQs

  • Product summaries

  • Website copy

 

 

4. Prohibited Assumptions

Unless explicitly stated in a written license agreement, users may not assume the right to:

• Claim ownership or copyright
 • Resell, redistribute, or sublicense
 • Register content in Content ID or similar systems
 • Upload music to streaming services
 • Receive exclusivity or guaranteed protection

 

 

5. AI-Assisted Content Disclosure

Some content offered may include AI-assisted or AI-generated elements created under commercial licenses.

Copyright protection, ownership scope, and enforceability of AI-assisted works may vary by jurisdiction and are subject to evolving law.

 

 

6. Platform Policies & Third-Party Control

The Company does not control:

  • Shopify platform functionality or outages

  • Social media platform policies or monetization decisions

  • Content moderation, algorithmic visibility, or enforcement actions

  • Third-party copyright claims or disputes

Use of third-party platforms is governed solely by their respective terms.

 

 

7. No Guarantees or Warranties

All content and services are provided “as is” and “as available.”

The Company makes no warranties, express or implied, including but not limited to:

  • Fitness for a particular purpose

  • Merchantability

  • Monetization eligibility

  • Revenue outcomes

  • Copyright claim avoidance

  • Platform performance or reach

 

 

8. Limitation of Liability (IMPORTANT)

To the maximum extent permitted by law, Kinsey Nexus Group, LLC, The V4LT, Erick Kinsey, and their officers, contractors, affiliates, and partners shall not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages
 • Loss of profits, revenue, or business opportunities
 • Platform suspensions, demonetization, or account restrictions
 • Copyright claims, takedowns, or enforcement actions by third parties
 • Data loss, service interruptions, or website downtime

Total liability, if any, shall not exceed the amount paid by the user to the Company for the applicable product.

 

 

9. Indemnification

Users agree to indemnify and hold harmless the Company from any claims, damages, liabilities, costs, or expenses arising from:

  • Unauthorized use of content

  • Violation of platform policies

  • Misrepresentation of license scope

  • Illegal or unlawful use

 

 

10. Enforcement & Remedies

Unauthorized use of music or website content may result in:

  • Immediate revocation of access

  • License termination (if applicable)

  • Copyright enforcement

  • Takedown notices

  • Legal remedies available under law

 

 

11. Shopify & Payment Processing Disclaimer

All purchases are processed through Shopify and third-party payment providers.

The Company does not store or control payment information and is not responsible for payment processor errors, delays, or disputes outside its control.

 

 

12. Modifications & Updates

The Company reserves the right to modify this Notice, licensing terms, pricing, or content availability at any time.

Updates apply prospectively only and do not alter valid licenses already granted.

 

 

13. Governing Law

This Notice shall be governed by and construed in accordance with the laws of the United States, without regard to conflict-of-law principles.
